Terms of Service

1. About these terms
These Terms of Service ("Terms") govern your use of the Circkit platform, including the website at circkit.io, mobile applications, and all related services (collectively, the "Service"), operated by Circkit Ltd., a company registered in England and Wales ("Circkit", "we", "us", or "our").
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and accounts
You must be at least 18 years old to use the Service. By registering, you confirm that you are of legal age and that the information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@circkit.io if you suspect unauthorised access.
We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms or is being used fraudulently.
3. The Service
Circkit provides tools for independent filmmakers and producers to manage their film festival strategy, including: project management, festival database browsing, submission tracking, AI-powered strategy and materials analysis, awards qualification tracking, programmer intelligence, network management, EPK generation, and screener management.
Certain features use artificial intelligence (powered by third-party AI models) to generate suggestions, analyses, and written content. AI-generated content is provided as a starting point and professional aid. It is not a substitute for your own judgement, and we do not guarantee its accuracy, completeness, or suitability for any particular festival or purpose.
4. Subscriptions and payment
The Service offers free and paid subscription tiers. Paid subscriptions are billed monthly or annually via Stripe. Prices are displayed in GBP and are inclusive of VAT where applicable.
By subscribing, you authorise us to charge the payment method on file at the start of each billing cycle. Subscriptions renew automatically until cancelled.
Cancellation. You may cancel your subscription at any time through the billing settings in your account or via the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. You retain access to paid features until then. No partial refunds are issued for unused time within a billing period.
Refunds. We do not offer refunds except where required by applicable law (including the Consumer Rights Act 2015). If you believe you are entitled to a refund, contact support@circkit.io within 14 days of the charge.
Price changes. We may change subscription prices with at least 30 days' written notice. Continued use after the new price takes effect constitutes acceptance.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Upload, transmit, or distribute any content that is defamatory, obscene, threatening, invasive of privacy, or otherwise objectionable.
- Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our systems and networks.
- Use automated means (bots, scrapers, crawlers) to access, collect, or extract data from the Service without our prior written consent.
- Send spam, unsolicited messages, or bulk communications through or using the Service.
- Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or commercially exploit the Service or any data obtained from it without our written authorisation.
- Misrepresent your identity or impersonate any person or entity.
- Use AI-generated content from the Service to train other AI or machine learning models without our written consent.
We reserve the right to investigate and take appropriate action against any violation, including suspending or terminating your account and reporting to law enforcement where necessary.
6. Your content
"Your Content" means all data, text, files, images, and other materials you upload, submit, or create through the Service, including film project details, synopses, director statements, stills, posters, and screener information.
Ownership. You retain all intellectual property rights in Your Content. We do not claim ownership of anything you upload.
Licence to us. By uploading Your Content, you grant Circkit a non-exclusive, worldwide, royalty-free licence to host, store, process, and display Your Content solely for the purpose of providing and improving the Service. This licence terminates when you delete Your Content or close your account, except where retention is required by law or legitimate business interests (such as backups that are purged in the ordinary course).
AI processing. When you use AI features, Your Content may be sent to third-party AI providers (currently Anthropic) for processing. We do not use Your Content to train AI models. See our Privacy Policy for details on data processing.
Responsibility. You are solely responsible for Your Content and represent that you have the necessary rights to upload it. We are not obligated to monitor or review Your Content, but we may remove content that violates these Terms.
7. Our intellectual property
The Service, including its design, code, features, branding, logos, and documentation, is owned by Circkit Ltd. and protected by copyright, trademark, and other intellectual property laws of England and Wales and international treaties.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. This licence does not include the right to copy, modify, distribute, sell, or lease any part of the Service.
The festival database, programmer profiles, and curated intelligence data are proprietary to Circkit. You may not extract, reproduce, or redistribute this data.
8. Third-party services
The Service integrates with third-party services including Vimeo, Stripe, and AI providers. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
When you connect your Vimeo account, you authorise Circkit to access and manage your videos within the scope you approve. You may revoke this access at any time through your Vimeo account settings.
9. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- Festival data, programmer profiles, qualification requirements, or deadline information will be accurate, complete, or current at all times.
- AI-generated suggestions, fit scores, or materials feedback will be accurate or suitable for any submission.
- Use of the Service will result in festival selections, awards qualifications, or any particular outcome.
Festival data is curated with care but may become outdated. Qualification rules change annually. Always verify critical information (deadlines, premiere requirements, qualifying conditions) directly with the festival or award body before making submission decisions.
10. Limitation of liability
To the maximum extent permitted by law, Circkit, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, revenue, data, or business opportunities; missed festival deadlines; incorrect premiere status tracking; or reliance on AI-generated content.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid to us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
11. Indemnification
You agree to indemnify and hold harmless Circkit and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
12. Termination
By you. You may close your account at any time through your account settings or by contacting support@circkit.io. On closure, your subscription is cancelled and we will delete your data in accordance with our Privacy Policy.
By us. We may suspend or terminate your account immediately if you breach these Terms, use the Service in a way that could cause harm to us or other users, or if required by law. Where possible, we will provide reasonable notice.
Effect of termination. On termination, your right to use the Service ceases immediately. We may retain certain data as required by law or legitimate business interests. Sections 6, 7, 9, 10, 11, 13, and 14 survive termination.
13. Dispute resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@circkit.io. We will endeavour to resolve the matter within 30 days.
Nothing in this section affects your statutory rights as a consumer under UK law, including your right to bring a claim in the courts of your country of residence.
14. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will:
- Post the updated Terms on this page with a revised "Last updated" date.
- Notify you by email at least 14 days before the changes take effect.
- Display an in-app notice on your next login after the update is published.
Your continued use of the Service after the updated Terms take effect constitutes acceptance. If you do not agree with the changes, you may close your account before they take effect.
15. General provisions
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Circkit regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
