Terms of Service

1. About these Terms
These Terms of Service (the “Terms”) form a legally binding agreement between you and BlackSlate AI Limited, a company registered in England and Wales (company number 17219805), with its registered office at Flat 4, 139 Walm Lane, London, United Kingdom, NW2 3AU, which operates the Circkit product (“Circkit”, “we”, “us”, or “our”). They govern your access to and use of the Circkit platform, including the website at circkit.io, any mobile applications, APIs, content, data, AI features, and all related services we make available (together, the “Service”).
By creating an account, clicking “I agree”, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Service.
If you are accepting these Terms on behalf of a company, production entity, or other legal person, you represent and warrant that you have the authority to bind that entity, and references to “you” include that entity.
2. Definitions
- Account means the account you create to access the Service.
- AI Output means any text, score, summary, recommendation, ranking, or other content generated by the Service’s artificial-intelligence features.
- Festival Data means the curated database of festivals, programmers, juries, qualifying conditions, deadlines, and related intelligence made available through the Service.
- Film Pass means a one-off purchase that permanently unlocks the Service’s full feature set for a single film (Project).
- Six-Film Slate means a one-off purchase that provides Film Pass access for up to six films.
- Purchase means any Film Pass or Six-Film Slate you buy. Purchases are one-off and do not renew.
- Your Content means any data, files, images, text, video links, or other materials you upload, submit, generate, or otherwise make available through the Service.
3. Eligibility and accounts
You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is higher), to create an Account and use the Service. By registering, you represent that you meet this requirement and that all information you provide is accurate, current, and complete.
You are responsible for safeguarding your Account credentials and for all activity that occurs under your Account, whether or not authorised by you. You must notify us immediately at support@circkit.io if you suspect unauthorised access or any security incident affecting your Account.
We may refuse, suspend, or terminate any Account that we reasonably believe is being used fraudulently, in breach of these Terms, in violation of applicable law, or in a way that poses risk to us, other users, or third parties.
4. The Service
Circkit provides tools for independent filmmakers, producers, and production entities to manage their film-festival strategy, including project management, festival database browsing, submission tracking, AI-powered festival strategy, awards qualification tracking, programmer intelligence, network management, EPK generation, and connected screener features where enabled.
The Service is provided for professional informational and productivity purposes. It is not legal, financial, tax, distribution, or sales advice. Nothing in the Service should be relied upon as a substitute for advice from a qualified professional in the relevant jurisdiction.
We may, at our discretion, add, modify, suspend, or discontinue any feature or part of the Service at any time, with or without notice. Where reasonably practicable, we will provide advance notice of material changes that materially reduce a paid feature you are actively using.
5. Pricing, payments, and refunds
The Service offers a free tier and one-off paid Purchases. Circkit is sold per film: a Film Pass permanently unlocks the full feature set for one film, and a Six-Film Slate does the same for up to six films. There is no subscription. Purchases are a single, one-time charge; nothing renews, nothing is billed monthly or annually, and there is nothing to cancel. Prices are displayed in GBP and are inclusive of UK VAT where applicable. Where required, applicable taxes for other jurisdictions may be added at checkout.
By making a Purchase, you authorise us (through Stripe, our payment processor) to charge your payment method once for that Purchase. On successful payment, access to the unlocked film’s paid features is granted and does not expire. We do not store your full card number, CVC, or bank details.
What you get. A Film Pass unlocks one film for the life of its festival run; a Six-Film Slate provides up to six such unlocks. An unlocked film stays unlocked. The free tier and the EPK builder and export are available without payment. The specific features included in each are described on our pricing page, which forms part of these Terms.
Statutory cancellation rights and digital content. Where applicable, consumers in the UK and EEA have a 14-day right to cancel a Purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 or equivalent local law. A Purchase unlocks digital content that may be supplied immediately. Before we start paid access during the 14-day period, you must expressly request immediate access and acknowledge that you lose the right to cancel once supply has begun. We record that acknowledgement when you start checkout or spend a banked unlock credit. If you have not yet accessed paid features for the relevant film, you may cancel within 14 days for a full refund by emailing support@circkit.io or using the in-app refund review form.
No refunds after paid access begins. Because a Film Pass or Slate unlock gives you immediate access to downloadable and viewable strategy content, we do not offer refunds after paid access has begun, except where required by applicable law. This includes, for example, statutory remedies where digital content is not supplied, is faulty, is not as described, or where another mandatory consumer right applies. We may review access history, checkout acknowledgements, payment records, support transcripts, and relevant account activity when assessing a refund request.
How to request a refund review. To request a refund you believe you are entitled to, email support@circkit.io or use the in-app refund review form within 14 days of the charge. We do not issue refunds automatically. We review each request against these Terms and applicable law.
Nothing in these Terms limits or excludes your statutory rights as a consumer.
Price changes. We may change our prices at any time. Price changes apply only to Purchases you make after the change takes effect; they never affect a film you have already unlocked, which remains unlocked at no further cost.
Promotions and discounts. We may offer discounts or promotional pricing, including codes for students and first-feature filmmakers. Promotional terms are in addition to these Terms and control to the extent of any conflict, except where these Terms are more protective of consumer rights.
6. Acceptable use
You agree not to, and not to permit any third party to:
- Use the Service for any unlawful, fraudulent, infringing, defamatory, harassing, threatening, abusive, or otherwise objectionable purpose, or in violation of any applicable law or regulation.
- Upload, submit, transmit, or store content that you do not have the right to share, or that infringes any third party’s intellectual property, privacy, publicity, or other rights.
- Use the Service to send spam, unsolicited bulk communications, or chain communications.
- Attempt to gain unauthorised access to any part of the Service, other users’ accounts, or our systems, networks, or infrastructure.
- Use bots, scrapers, crawlers, or other automated means to access, collect, extract, or index any part of the Service (including Festival Data) without our prior written consent.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, prompts, or underlying data of the Service, except to the extent expressly permitted by mandatory law.
- Resell, sublicense, rent, lease, white-label, or commercially exploit the Service or any data obtained from it without our prior written consent.
- Use AI Output or any Festival Data to train, fine-tune, evaluate, or otherwise improve any machine-learning model or competing service without our prior written consent.
- Misrepresent your identity or affiliation, impersonate any person or entity, or use the Service in a way intended to deceive other users or third parties (including festivals and award bodies).
- Interfere with, disrupt, or place an unreasonable burden on the Service, or circumvent rate limits, paywalls, or security mechanisms.
- Use the Service in connection with or to facilitate any sanctioned activity, or to process content that is prohibited under applicable export-control or sanctions laws.
We may investigate suspected violations and take any action we reasonably consider appropriate, including warning you, removing content, suspending or terminating your Account, refusing refunds, and cooperating with law enforcement or regulators. Additional rules for AI misuse, scraping, spam submissions, account sharing, and tier limits are set out in our Acceptable Use Policy.
7. Your Content
Ownership. As between you and Circkit, you retain all intellectual property and other rights you hold in Your Content. We do not claim ownership of anything you upload or create through the Service.
Licence to us. You grant Circkit a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, copy, transmit, process, display, and create technical adaptations of Your Content solely to operate, secure, support, and improve the Service for you, and to perform the functions you direct (such as sending screener links, generating EPKs, processing AI analysis, or transmitting transactional email). This licence ends when you delete the relevant content or close your Account, except (i) for residual copies that are purged in the ordinary course of backups and (ii) where we are required to retain content to comply with law, exercise legal claims, or enforce these Terms.
Your representations.You represent and warrant that (a) you have all necessary rights, licences, consents, and permissions to upload, submit, and process Your Content through the Service, including from co-creators, financiers, contributors, and persons featured; (b) Your Content does not infringe any third party’s intellectual property, privacy, publicity, contractual, or other rights; and (c) Your Content complies with applicable law.
No obligation to monitor; right to remove. We are not obliged to monitor Your Content, but we may review, refuse, or remove any content we reasonably believe breaches these Terms or applicable law.
Copyright notices and takedown. If you believe content on the Service infringes your copyright or other rights, send a notice to legal@circkit.io with: (i) identification of the work, (ii) the URL or location of the allegedly infringing content, (iii) your contact information, (iv) a statement of good-faith belief that the use is unauthorised, (v) a statement made under penalty of perjury that the information is accurate and you are authorised to act, and (vi) your signature. We will respond in accordance with applicable law (including, where relevant, the US Digital Millennium Copyright Act and the UK Copyright, Designs and Patents Act 1988).
8. AI features and AI Output
Certain features use artificial intelligence supplied by third-party providers (currently Anthropic) to generate AI Output (for example, festival fit scores, programmer briefings, EPK content, and AI-drafted bios). AI Output is generated probabilistically and is intended as a starting point for your professional judgement.
Ownership of AI Output. Subject to your compliance with these Terms, and to the extent we have rights to do so, we assign to you our rights in the AI Output generated specifically for your Account from prompts based on Your Content. AI providers may apply their own terms; AI Output is not warranted to be original, free of third-party rights, or eligible for copyright or other intellectual-property protection in any jurisdiction.
No warranties on accuracy. AI Output may be inaccurate, incomplete, out of date, biased, or unsuitable for any particular festival, award, or purpose. You are solely responsible for reviewing AI Output and for any decision or submission you make in reliance on it. Do not submit AI Output to a festival or award body without first verifying it.
Restrictions. You may not (a) hold out AI Output as having been created by a human if a festival, award body, broadcaster, or regulator requires authored declarations; (b) use AI Output to generate misleading credit, attribution, or provenance claims; or (c) use AI Output to train, evaluate, or fine-tune competing models or services.
9. Festival Data, programmer intelligence, and awards tracking
Festival Data is curated by Circkit using a combination of publicly available sources, partner submissions, and our own research. We work hard to keep it accurate, but festival rules, deadlines, programmer rosters, jury composition, and qualifying conditions change frequently and without notice. The Service is provided to support, not replace, your own verification.
Verification responsibility. Before relying on any Festival Data for a decision with cost, time, or premiere implications (including paying a submission fee, scheduling around a deadline, choosing a premiere venue, or making an awards-qualifying submission), you must verify the information directly with the festival or award body.
Premiere status. The Service helps you track premiere status (world, international, etc.) based on the rules we encode and the data you provide. We do not guarantee that any classification, warning, or recommendation reflects how a specific festival or award body will treat your film, or that our rules will remain unchanged.
10. Our intellectual property
The Service, including its software, design, user interface, brand, logos, prompts, models, prompt-engineering, Festival Data, programmer intelligence, award-tracking logic, documentation, and all derivative works, is owned by BlackSlate AI Limited or our licensors and is protected by copyright, trademark, database, and other intellectual-property laws of England and Wales and international treaties.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service in accordance with these Terms and your Purchases. All rights not expressly granted are reserved. You may not extract, reproduce, redistribute, repackage, or commercialise any Festival Data or programmer intelligence outside the Service.
Feedback. If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use them without restriction or compensation.
11. Third-party services
The Service integrates, or may integrate where a connected feature is enabled, with third-party providers, including Stripe (payments), Vimeo (screener management), Anthropic (AI processing), Resend (transactional email), Supabase (infrastructure and storage), Sentry (error monitoring), PostHog (product analytics), Slack (support escalation), and Vercel (hosting). Your use of those integrations is subject to the respective third party’s terms and privacy policies. We are not responsible for the availability, accuracy, security, or practices of third-party services.
When Vimeo connection is available and you connect your Vimeo account, you authorise Circkit to access and manage your videos within the scopes you approve. You may revoke this access at any time through your Vimeo account settings; revoking will disable screener features that depend on it.
12. Beta and experimental features
We may make beta, preview, or experimental features available, identified as such or as “experimental”, “preview”, or similar. Beta features are provided “as is”, may change or be withdrawn without notice, may contain bugs, and are excluded from any service commitments. You use them at your own risk.
13. Service availability and modifications
We aim to keep the Service available, but we do not guarantee uninterrupted, error-free, or secure operation. We do not offer service-level commitments. We may schedule maintenance, perform emergency updates, or experience outages without notice. We will not be liable for unavailability resulting from causes outside our reasonable control (see clause 19).
14. Suspension and termination
By you. You may close your Account at any time through Account settings or by emailing support@circkit.io. On closure, your access to the Service ends and your data will be handled in accordance with our Privacy Policy. Because Purchases are one-off, there is no recurring billing to cancel.
By us. We may suspend or terminate your Account or access to all or part of the Service immediately if (a) you breach these Terms; (b) your use creates a risk of harm or legal exposure to us, other users, or third parties; (c) we receive a credible legal demand or notice requiring it; (d) you fail to pay amounts owed; or (e) we discontinue the Service. Where reasonably practicable, we will provide notice and an opportunity to cure.
Effect of termination.On termination your right to use the Service ceases immediately. We may retain certain data to the extent required to comply with law, resolve disputes, or enforce these Terms. Clauses 6, 7, 8, 10, 15–26 survive termination.
15. Disclaimers
To the maximum extent permitted by law, the Service and all content, data, and AI Output are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or trade.
We do not warrant that:
- The Service will be uninterrupted, secure, error-free, or available at any particular time or location.
- Defects will be corrected, or that the Service is free of viruses or other harmful components.
- Festival Data, programmer profiles, jury composition, qualification conditions, deadlines, or any other information will be accurate, complete, or current at all times.
- AI Output (including fit scores and programmer briefings) will be accurate, suitable, free of third-party rights, or fit for any particular submission, festival, or award body.
- Use of the Service will result in any particular outcome, including festival selection, awards qualification, award win, distribution, or commercial result.
Nothing in this clause limits any rights you have as a consumer that cannot be limited or excluded under applicable law (including the Consumer Rights Act 2015 in the UK).
16. Limitation of liability
To the maximum extent permitted by law, Circkit (including our directors, officers, employees, contractors, agents, and licensors) shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, anticipated savings, opportunity, contracts, business, data, content, or use, arising out of or in connection with the Service, these Terms, or any AI Output, whether in contract, tort (including negligence), statute, or otherwise, even if we have been advised of the possibility of such losses.
Without limiting the above, we are not liable for: missed festival deadlines; incorrect premiere classification; reliance on AI Output or Festival Data; loss or corruption of Your Content; unauthorised access to your Account caused by your failure to keep credentials secure; or third-party service outages.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service and these Terms in any 12-month period is limited to the greater of (a) the amount you actually paid to us for the Service in that period and (b) £100.
Nothing in these Terms excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other liability that cannot be excluded or limited under English law.
17. Indemnification
By you. To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Circkit and our officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) Your Content, (b) your use of the Service in breach of these Terms or applicable law, (c) your violation of any third-party right, including intellectual-property, privacy, publicity, or contractual rights, or (d) AI Output to the extent the claim arises because you modified, combined, used, or distributed it in breach of these Terms.
By us.We will defend you against any third-party claim that the Service, as provided by us and used by you in accordance with these Terms, infringes that third party’s intellectual-property rights, and pay damages finally awarded against you by a court of competent jurisdiction (or agreed in settlement by us), provided you (i) notify us promptly in writing, (ii) give us sole control of the defence and settlement, and (iii) provide reasonable cooperation. If a claim is made or we reasonably believe one may be made, we may, at our option, (a) procure the right for you to continue using the Service, (b) modify the Service to be non-infringing, or (c) terminate your access to the affected film and refund the fees you paid for it. This is our sole liability, and your sole remedy, for any intellectual-property infringement claim. This indemnity does not apply to claims arising from Your Content, modifications we did not make, combinations with other products, or use in breach of these Terms.
Procedure. The indemnified party must notify the indemnifying party promptly of any claim. The indemnifying party controls the defence and settlement of the claim, provided no settlement imposes any non-financial obligation on the indemnified party without their prior written consent.
18. Confidentiality
Each party agrees to keep confidential any non-public information of the other party (including business, technical, financial, or product information) that is identified as confidential or that reasonably should be understood to be confidential, and to use it only as necessary to perform under these Terms.
19. Force majeure
Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events outside its reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, riot, civil unrest, government action, sanctions, labour dispute, internet or telecommunications failure, power failure, or third-party service or infrastructure outage. The affected party will use reasonable efforts to mitigate and resume performance as soon as reasonably practicable.
20. Sanctions and export controls
You represent and warrant that you are not, and are not acting on behalf of, a person (i) located in, ordinarily resident in, or organised under the laws of a country or region subject to comprehensive economic sanctions by the UK, EU, UN, or US, or (ii) listed on any sanctions list maintained by HM Treasury, the EU, OFAC, or any other competent authority. You agree to comply with all applicable export-control, sanctions, and anti-bribery laws (including the UK Bribery Act 2010) in connection with your use of the Service.
21. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by the laws of England and Wales. Subject to the consumer-rights carve-out below, the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim.
If you are a consumer resident in another part of the United Kingdom or in the EEA, you benefit from any mandatory protections of the law of your country of habitual residence, and may bring proceedings in respect of these Terms in the courts of your country of habitual residence.
22. Dispute resolution
Before commencing court proceedings, you agree to try to resolve any dispute informally by contacting us at legal@circkit.io with a clear description of the issue and the resolution you are seeking. We will respond in good faith and aim to resolve the matter within 30 days.
Nothing in this clause affects your right as a consumer to bring proceedings in court or to use any alternative-dispute-resolution scheme available under applicable law.
23. Notices and electronic communications
You consent to receive notices and communications from us electronically by email to the address associated with your Account, or by in-app notice, including notices of changes to these Terms, billing, security incidents, and service updates. Notices to us must be sent to legal@circkit.io.
24. Changes to these Terms
We may update these Terms from time to time. When we make changes that materially affect your rights or obligations, we will:
- Post the updated Terms here with a revised “Last updated” date.
- Email you at the address on file at least 14 days before the changes take effect (except where a shorter period is required for legal, security, or regulatory reasons).
- Display an in-app notice on your next login after the update is published.
Your continued use of the Service after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service and may close your Account before the changes take effect.
25. General provisions
Entire agreement. These Terms, together with the Privacy Policy and any plan-specific or order-form terms we agree with you in writing, constitute the entire agreement between you and Circkit regarding the Service and supersede any prior arrangements.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer ours (including in connection with a merger, acquisition, reorganisation, or sale of assets) on notice to you.
No third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
Relationship. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between the parties.
Headings. Headings are for convenience only and do not affect interpretation.
